The Management Board of PETROLINVEST S.A. headquartered in Gdynia (the "Company") announces that today, in connection with the registration on 9 December 2009 of the share capital increase effected by way of an issue of ordinary series U shares, which were subscribed for by Prokom Investments S.A. and Osiedle Wilanowskie Sp. z o.o., a subsidiary of Prokom ("Osiedle Wilanowskie"),  the Management Board received notifications from Mr. Ryszard Krauze and Prokom Investments S.A. headquartered in Gdynia ("Prokom") stating that:
  1. the voting interest and percentage in the share capital held in the Company by Mr. Ryszard Krauze - who is the dominant entity of Prokom and Osiedle Wilanowskie - together with Prokom and Osiedle Wilanowskie has been increased by app. 7.28% as from the date of registration by the court of the increase of the share capital of the Company.

    Before the registration of the share capital increase, Mr. Ryszard Krauze, together with Prokom and Osiedle Wilanowskie, had a stake of 7,117,265 shares in the Company's share capital, carrying 7,117,265 votes, representing a 37.41% interest in the share capital and 37.41% in the total vote.

    Following the registration of the share capital increase, Mr. Ryszard Krauze, together with Prokom and Osiedle Wilanowskie, owns 9,620,893 Company shares, carrying 9,620,893 votes, which constitute a 44.69% interest in the share capital and 44.69% in the total vote.
  2. Prokom's percentage interest in the Company's share capital and total vote has been increased by app. 7.28% threshold as from the date of registration by the court of the increase of the share capital of the Company.

    Before the registration of the share capital increase, Prokom, together with Osiedle Wilanowskie, had a stake of 7,113,679 shares in the Company's share capital, carrying 7,113,679 votes, representing a 37.40% interest in the share capital and 37.40% in the total vote.

    Following the registration of the share capital increase, Prokom, together with Osiedle Wilanowskie, presently owns 9,617,307 Company shares, carrying 9,617,307 votes, which constitute a 44.68% interest in the share capital and 44.68 in the total vote.
